Sr. Paralegal

The Role:

You will report to an attorney in the AMD Law Department and will be a member of the team supporting AMD’s RTG engineering team. Your primary responsibilities will be to (i) assist RTG with transactional matters, software license interpretation, drafting, negotiation, and compliance, and (ii) work as part of a team to develop streamlined processes to ensure outstanding legal support that meets the needs of RTG.

 

The Person:

To be successful in this role we are searching for someone who is organized and motivated with experience as a paralegal in technology transactions, including software licensing. You must have strong communications skill and be resourceful to take initiative on projects and follow through on commitments in a timely manner. Lastly, you need to be able to be open to learning new tools and applications (e.g. Jira, Confluence); and have excellent attention to detail, takes great care to ensure accuracy, and uses good judgment. Key Responsibilities:

  • Assisting in drafting, negotiating, and interpreting software licensing agreements, including client counseling regarding the use of open-source software.
  • Assisting in drafting, negotiating, and client counseling related to technology licenses, and other agreements with customers and technology development partners.
  • Preparing contracts summaries and assisting with contract management functions, including working closely with our clients to implement streamlined compliance with contractual obligations.
  • Reviewing technical papers and presentations, engineering publications, technical documentation, and technical marketing material for legal compliance.
  • Working as part of the broader corporate team, including engineering, sales, business groups, finance, and operations, to support transactions and other legal or business initiatives.

 

Preferred Experience:

  • At least 5 years’ experience as a transactional paralegal or contract negotiator. In-house corporate legal department experience is preferred, but not required.
  • A proven understanding of U.S. law pertaining to contracts and software licensing, including open-source software licenses. Experience with source code auditing/compliance tools is preferred.
  • Strong interpersonal and communication skills.
  • Ability to lead multiple simultaneous projects efficiently and effectively from basic to sophisticated under time pressure, while maintaining attention to detail and a positive, constructive attitude.
  • Ability to develop creative solutions to issues; and
  • A team-player with a good sense of humor, even when busy.

 

Academic Credentials:

Paralegal certificate or comparable training
